Valuationary Edtech Private Limited (hereinafter referred to as the "Company") operates Prosper, a technology platform that connects SEBI-registered Research Analysts ("RAs") with users seeking to subscribe to research and advisory services.

  1. The Company provides technology infrastructure, subscription management, payment facilitation, communication tools, and related platform services that enable interaction between users and SEBI-registered Research Analysts through the Platform.

    Research Analysts listed on the Platform are independent SEBI-registered entities. The Company does not provide any research recommendations, investment advice, or advisory services in its own capacity. Any research recommendations, model portfolios, stock ideas, trading calls, educational content, or related services available on the Platform are exclusively provided by the respective SEBI-registered Research Analyst.

  2. Research Analysts listed on the Platform are independent SEBI-registered entities. The Company does not provide any research recommendations or investment advice on its own. Any research recommendations or advice available on the Platform are exclusively provided by the SEBI-registered Research Analysts authorised to do so. For disclosures by these SEBI-registered entities, please refer to the disclosure documents of the respective Research Analyst available on their profile page on the Platform.
  3. All information displayed on the Platform, including but not limited to performance data, returns, and subscription details of Research Analysts, is for informational purposes only and is intended to help users make an informed decision. Such information should not be construed as an advertisement, endorsement, or promotion of any research service or Research Analyst.
  4. Registration granted by SEBI and certification from NISM in no way guarantee performance of the intermediary or provide any assurance of returns to investors.
  5. The Company is only a technology provider and payment facilitator and is not an intermediary in terms of applicable SEBI regulations. Any information, content, or research available on the Platform, whether accessed freely or upon payment of a subscription fee, must not be construed to be investment advice or research analysis in terms of the SEBI (Investment Advisers) Regulations, 2013 and the SEBI (Research Analysts) Regulations, 2014 respectively. The Company is not liable for any losses caused, directly or indirectly, as a result of any action taken by a user based on any research, recommendation, or content published on the Platform by any Research Analyst.
  6. The Company does not endorse, sponsor, recommend, or verify the content of any research report, recommendation, or information published by any Research Analyst on the Platform, and is not responsible for the accuracy or veracity of any such content.
  7. No Research Analyst is permitted under applicable SEBI regulations to guarantee returns, profits, or assured outcomes. Any claim of assured returns by a Research Analyst on the Platform should be reported immediately to the Company at support@getprosper.club and, where applicable, to SEBI.
  8. The performance data or track record of any Research Analyst, if displayed on the Platform, is provided as received from the respective Research Analyst and has not been independently verified by the Company. Past performance is not a guarantee of future results. Investment in securities is subject to market risk. Registration with SEBI is not a guarantee or assurance of future returns.
  9. Details of subscription and payment services available on the Platform: To facilitate payments for research subscriptions, the Company has partnered with RBI-compliant payment gateway service providers. All payment transactions are processed through these payment gateways in a secure and compliant manner. The Company does not store full payment card details. The Company collects subscription fees from users and remits the applicable amount to the respective Research Analyst after deducting its platform fee, in accordance with the terms agreed with the Research Analyst.
  10. The Company charges a platform fee or commission from Research Analysts for each subscription facilitated through the Platform. This commercial arrangement does not influence or affect the content of research published by Research Analysts on the Platform.
  11. GST at the prevailing rate is applicable on all subscription transactions facilitated through the Platform, in accordance with the Goods and Services Tax Act, 2017.
  12. Prices, performance data, and any other financial information displayed on the Platform may be delayed or sourced from third-party data providers. The Company is not responsible for the accuracy or completeness of such information.
  13. The information and opinions contained on the Platform have been compiled based upon information obtained from sources believed to be reliable. Such information has not been independently verified by the Company and no guarantee, representation, or warranty, express or implied, is made as to its accuracy, completeness, or correctness. All such information is subject to change without notice. The Company has the right to make changes and modifications to the Platform at any time.
